These Terms of Service govern your use of PhemosReach. Please read them carefully.

1. Agreement to these terms

These Terms of Service ("Terms") are a legal agreement between you and Modus Future, which operates PhemosReach ("PhemosReach", "we", "us", or "our"). By creating an account or using PhemosReach, you agree to these Terms and to ourPrivacy Policy. If you do not agree, do not use the service.

2. The service

PhemosReach is a tool that helps you plan, create, and publish content across social and content platforms, including AI-assisted drafting and scheduling. We may add, change, or remove features over time. Some capabilities depend on third-party platforms and their APIs, which can change or become unavailable outside our control.

3. Accounts and eligibility

You must be at least 16 years old and able to form a binding contract to use PhemosReach. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

4. Your content and connected accounts

You retain ownership of the content you create or upload ("Your Content"). You grant us a limited license to host, process, and transmit Your Content solely to operate the service and to publish or schedule it to the platforms you connect, at your direction.

When you connect a third-party account, you authorize us to access and act on that account on your behalf as described in our Privacy Policy. You are responsible for complying with the terms and policies of each platform you connect, and you confirm you have the rights needed to publish Your Content.

5. Acceptable use

You agree not to use PhemosReach to:

• Break the law or infringe the rights of others.
• Post spam, malware, or content that is unlawful, harassing, hateful, or otherwise violates the policies of a connected platform.
• Bypass, overload, or interfere with the service, its security, or its rate limits, or with any connected platform's API.
• Reverse engineer or resell the service except as permitted by law.

We may suspend or remove content or accounts that we reasonably believe violate these Terms or a connected platform's policies.

6. Third-party platforms and AI output

PhemosReach relies on third-party platforms and AI providers. We are not responsible for those services, their availability, or changes they make to their APIs or policies. Your use of a connected platform remains subject to that platform's own terms.

AI-generated content may be inaccurate, incomplete, or unsuitable. You are responsible for reviewing and approving any content before it is published.

7. Billing and subscriptions

Paid plans are billed through Stripe. Unless stated otherwise, subscriptions renew automatically for the same period until cancelled. You can cancel at any time, and cancellation takes effect at the end of the current billing period. We do not refund a partly used billing period as a matter of course. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot be excluded by agreement; where such a guarantee applies and we fail to meet it, you are entitled to the remedies that law provides, which may include a refund. We may change pricing with reasonable notice, effective on your next billing period.

8. Intellectual property

PhemosReach, including its software, design, and branding, is owned by Modus Future and protected by intellectual property laws. These Terms do not grant you any right to our trademarks or brand features. All rights not expressly granted are reserved.

9. Disclaimers

PhemosReach is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted, error free, or secure. This section does not exclude any guarantee that applies under the Australian Consumer Law.

10. Limitation of liability

To the fullest extent permitted by law, Modus Future and PhemosReach will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the service. Our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the claim arose.

11. Indemnification

You agree to indemnify and hold harmless Modus Future and PhemosReach from any claims, damages, and expenses arising out of Your Content, your use of the service, or your breach of these Terms or of a connected platform's policies.

12. Termination

You may stop using PhemosReach and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if we are required to by law. On termination, your right to use the service ends, and we will handle your data as described in our Privacy Policy.

13. Governing law

These Terms are governed by the laws of England and Wales, without regard to conflict of law rules, and the courts of England and Wales have exclusive jurisdiction, except where mandatory local law provides otherwise.

14. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Continued use of PhemosReach after an update means you accept the revised Terms.
